ZF Strengthens Non-Automotive Gearbox Business

ZF will take over the main gearbox business of Bosch Rexroth with more than 1,200 employees. The ZF acquisition made it suitable for industrial gear applications such as oil drilling equipment, mine cars and tunnel drilling machines. In addition, ZF is strengthening its wind turbine gearbox business. On May 13, 2015, the two parties signed the acquisition agreement, which is still in the stage of anti-monopoly approval.

“Strengthening business development in the non-automotive field is one of the key goals of our long-term strategy,” said Dr. Stefan Sommer, CEO of ZF, “Acquisition of Bosch Rexroth industrial gear and wind turbines. The gearbox business is a good opportunity for us to enhance our industrial technology portfolio and open up new customer groups.” In 2014, the sales volume of the Bosch Rexroth main gearbox business was approximately 300 million Euros. In the same year, ZF's Industrial Technology sales accounted for about 12% of the Group's total sales, including off-road business, and it is expected that this proportion will increase in the future.

ZF will take over two production sites of Bosch Rexroth - the Witten plant in Germany with nearly 900 employees, the Beijing plant with more than 300 employees, and the service company in Lake Zurich, USA. The total number of employees exceeds 1,200 people. The factory located in Witten is not only its main production base, but also responsible for the management, development and sales of the main gearbox business (industrial gears and wind turbine gearboxes). The Beijing factory is responsible for the production of wind turbine gearboxes. Witten and the Beijing factory and the service company at Lake Zurich provide technical support services to customers.

“We believe that our main gearbox business will benefit from the professional experience of the ZF transmission and as ZF’s new business unit, we will be able to use this opportunity to the greatest extent to maintain a good rally. Mr. Tragl, chairman of Bosch Rexroth's Executive Committee, said that Bosch Rexroth has been working on further expanding its business in recent years. “We are trying to expand the range of new wind turbine gearboxes in the relatively weak wind development field.” In the future, Bosch Rexroth Will be more focused on the core business of industrial and mobile applications.

“We look forward to working with more than 30 years of experienced wind turbine gearbox technology developers and drawing on ZF's more than 50 years of R&D experience in the industrial gear sector,” ZF board members Wilhelm Rehm, who is responsible for group material management and industrial technology, explained, “We considered Witten as our new industrial drive business unit headquarters.”

The two companies unanimously decided not to publicly disclose the purchase price. It is still in the stage of antitrust approval.
